NEW YORK, Aug. 31 - Scientific Games Corporation (Nasdaq: SGMS) announced today the expiration of its offer to exchange an aggregate principal amount of up to $200,000,000 of its new 6-1/4% Senior Subordinated Notes due 2012 for a like amount of its old 6-1/4% Senior Subordinated Notes due 2012. Scientific Games was advised by Wells Fargo Bank, N.A., the exchange agent for the exchange offer, that as of 5:00 p.m., New York City time, on August 30, 2005, when the exchange offer expired, a total of $200,000,000 aggregate principal amount of the old notes were tendered in the exchange offer, representing 100% of the aggregate principal amount of the old notes outstanding. Scientific Games has advised Wells Fargo Bank, N.A. that all validly tendered old notes have been accepted for exchange in the exchange offer.
